Terms of Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Platform, you confirm that:

• You have read, understood, and agree to be bound by these Terms and any future amendments.
• You are at least 18 years old and have the legal capacity to enter into a binding agreement.
• If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.
• Your use of the Platform complies with all applicable laws and regulations of the United Arab Emirates and your jurisdiction.

2. Definitions

• "Client" means a User who seeks to purchase Services or Products through the Platform.
• "Provider" means a User who offers Services or Products through the Platform, including but not limited to interior architects, designers, craftsmen, manufacturers, distributors, and construction companies.
• "Service" means any professional service offered by a Provider, such as design consultations, custom furniture creation, interior design, or construction work.
• "Product" means any physical item offered for sale by a Provider, such as furniture, lighting, decor, or materials.
• "Order" means a binding agreement between a Client and a Provider for the provision of Services or Products, facilitated by the Platform.
• "Escrow" means the secure holding of funds by the Platform until Order milestones are completed and approved by both parties.

3. Account Registration

3.1 Account Creation

To use certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to comply with this obligation.

3.3 Verification

Providers may be subject to additional verification procedures, including identity verification, business license validation, and portfolio review. We reserve the right to reject any Provider application at our sole discretion.

4. User Roles & Responsibilities

4.1 All Users

• You agree to use the Platform in good faith and for lawful purposes only.
• You will not engage in any fraudulent, misleading, or deceptive conduct.
• You will not attempt to circumvent the Platform's payment systems or conduct transactions off-platform to avoid fees.
• You will not harass, abuse, or harm other Users or our staff.
• You will not upload or transmit any viruses, malware, or other harmful code.

4.2 Client Responsibilities

• You agree to provide clear and accurate project requirements.
• You agree to pay all fees associated with your Orders in a timely manner.
• You agree to communicate respectfully with Providers and provide feedback constructively.
• You agree to approve completed milestones promptly or raise legitimate concerns within a reasonable timeframe.

4.3 Provider Responsibilities

• You represent and warrant that you have the necessary skills, licenses, and qualifications to perform the Services or provide the Products you offer.
• You agree to deliver Services and Products as described in your listings and Order agreements.
• You agree to maintain accurate availability and respond to Client inquiries in a timely manner.
• You agree to comply with all applicable laws, including tax obligations and business licensing requirements.
• You are solely responsible for any taxes, fees, or duties applicable to your earnings.

5. Listings & Content

5.1 Listing Accuracy

Providers are responsible for ensuring that all listings, including descriptions, images, pricing, and availability, are accurate and not misleading. We reserve the right to remove any listing that violates these Terms or our policies.

5.2 Prohibited Content

You may not post content that:

• Is illegal, obscene, defamatory, or discriminatory.
• Infringes on any third party's intellectual property rights.
• Contains false or misleading information.
• Promotes violence or illegal activities.
• Includes personal contact information to bypass Platform communication.

5.3 Content License

By posting content on the Platform, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of operating and promoting the Platform. You retain all ownership rights to your content.

6. Payments & Fees

6.1 Platform Fees

Designers Puzzle charges fees for the use of our platform. The current fee structure is:

• Service Fee: For service-based Orders, we charge a [X]% platform fee to Providers based on the total Order value.
• Product Fee: For product sales, we charge a [X]% platform fee to Providers.
• Payment Processing: Additional payment processing fees may apply as charged by our payment partners.

All fees are exclusive of any applicable taxes, which are the responsibility of the User.

6.2 Pricing

Providers set their own prices. All prices should be in UAE Dirham (AED) unless otherwise specified. Prices for Products should include all applicable taxes unless clearly stated as exclusive.

6.3 Payment Methods

We accept payments via credit/debit cards, bank transfers, and other methods as made available on the Platform. By using these payment methods, you agree to the terms of our payment partners.

6.4 Refunds

Refunds are handled in accordance with our Dispute Resolution process. For digital services, refunds may be subject to the Provider's cancellation policy, which must be clearly disclosed in their listing.

7. Escrow & Milestones

7.1 Escrow Protection

All payments for service-based Orders are held in escrow by Designers Puzzle until the Client approves completion of each milestone. This protects both parties: Clients know their funds are secure until satisfied, and Providers know funds are available upon delivery.

7.2 Milestone Releases

Funds are released from escrow only after:

• The Client confirms in writing (through the Platform) that the milestone has been completed to their satisfaction, OR
• A dispute resolution process concludes in favor of the Provider.

7.3 Deposit Payments

Some Providers may require a deposit before beginning work. Deposits are held in escrow and released only after the first milestone is approved.

8. Dispute Resolution

8.1 Good Faith Resolution

In the event of a disagreement, both parties agree to first attempt to resolve the dispute in good faith through direct communication on the Platform.

8.2 Platform Mediation

If direct communication fails, either party may request mediation by Designers Puzzle. We will review all relevant evidence, including messages, milestone submissions, and any other documentation. Our mediation decision is final and binding with respect to the release of escrowed funds.

8.3 Dispute Timeline

Disputes must be raised within 14 days of milestone delivery or Order completion. After this period, funds may be released automatically.

8.4 Legal Action

Nothing in these Terms prevents either party from seeking legal remedies for breach of contract or other claims, subject to the Governing Law section below.

9. Intellectual Property

9.1 Platform IP

All content on the Platform, including but not limited to logos, designs, text, graphics, software, and the "Designers Puzzle" brand, are the exclusive property of Designers Puzzle FZ-LLC and protected by UAE and international intellectual property laws.

9.2 User IP

Users retain ownership of their content. By posting content, you grant us a license as described in Section 5.3. You represent and warrant that you have all rights necessary to grant this license.

9.3 Design Rights

For custom design projects, ownership of final designs and intellectual property rights should be agreed upon in writing between the Client and Provider before work begins. Designers Puzzle is not responsible for disputes regarding IP ownership.

10. Termination

10.1 By User

You may terminate your account at any time by contacting us. However, termination does not relieve you of obligations for ongoing Orders or disputes.

10.2 By Platform

We reserve the right to suspend or terminate your account at any time, without prior notice, for:

• Violation of these Terms.
• Fraudulent or illegal activity.
• Harassment or abuse of other Users.
• Extended inactivity.
• Any other reason at our sole discretion.

10.3 Effect of Termination

Upon termination, you will lose access to your account and any pending Orders will be subject to our standard processes. Any funds held in escrow will be handled according to the dispute resolution process.

11. Limitation of Liability

To the maximum extent permitted by UAE law:

• The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied.
• Designers Puzzle is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
• Our total liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the total fees paid by you to us in the 12 months preceding the claim.
• We are not responsible for the actions, content, or deliverables of any third party, including other Users.
• We do not guarantee that the Platform will be uninterrupted, secure, or error-free.

12. Indemnification

You agree to indemnify and hold harmless Designers Puzzle FZ-LLC, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the Platform.
• Your violation of these Terms.
• Your violation of any third-party rights.
• Any dispute between you and another User that arises from your interactions on the Platform.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts of Dubai, UAE, and you consent to the personal jurisdiction of such courts.

14. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a prominent notice on the Platform. Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms.
